Stable fees, volatile earnings: What investors should know about EAAA IPO

The issue opens on 26 October. At the upper end of the price band, EAAA India Alternatives would have an implied market capitalization of ₹10,765 crore. The investment case hinges on how EAAA generates income, the visibility of its fee streams and the extent to which its assets are locked in for the long term. EAAA invests across equity, quasi-equity and debt instruments, including convertible debt, and generates income through three primary streams: management and advisory fees, variable additional returns and general partner (GP) income.

Management and advisory fees are earned for managing funds and providing advisory services. Variable additional returns represent performance-linked income earned after a fund crosses its hurdle rate of return, while GP income arises from investments in funds or co-investments in portfolio companies. Management and advisory fees accounted for around 61% of the company's revenue in fiscal year 2026 (FY26), making them a significant source of income.

The stream is relatively stable because it largely comes from multi-year contractual arrangements. Explaining the underlying investments, a source close to the company said, “Our income and yield strategies invest in assets such as completed roads and commercial properties, where tolls, annuities and rents generate regular cash flows for investors.” About 77% of the company's AUM comes from repeat customers.

Its funds are also close-ended, with investors committing capital for periods ranging from 4.5 to 10 years, depending on the fund's tenure, according to the red herring prospectus (RHP). These long investment periods can provide greater visibility into committed capital, although they do not eliminate investment risks or guarantee returns. EAAA raised commitments of approximately ₹47,526.3 crore over the three financial years and the three months ended 30 June 2026, according to the prospectus.

Its four flagship verticals are in their third and fourth vintages and together account for more than 64% of AUM. In its flagship private credit verticals, the company has completed 190 deals, deploying more than ₹42,407.9 crore, the prospectus said. EAAA's financial performance is driven by fee-paying assets under management (FPAUM), management fees, variable additional returns and other income from managing alternative investment funds (AIFs) and related products.

FPAUM represents the portion of AUM on which the company earns management and advisory fees. FPAUM grew at a compound annual growth rate (CAGR) of nearly 23.4% over the three years to FY26, rising from ₹23,775.8 crore in FY23 to ₹44,710.4 crore in FY26. This expansion supports the growth of recurring fee income, while realised portfolio returns can influence performance-linked revenue. “EAAA management fees provide recurring income, but performance-linked returns create volatility,” said Ravi Singh, chief research officer at Master Capital Services.

“Investors should monitor cash flows, fund valuations, exit delays and fee-paying AUM growth.” Prasenjit Paul, fund manager at 129 Wealth and head of research at Paul Asset, also cautioned that business growth does not necessarily translate into predictable earnings. “The business is growing, but rising performance-linked income makes earnings more uneven and less predictable,” he said. Higher interest rates could raise borrowing costs, affect investment valuations and make new investments less attractive, potentially slowing fundraising and deployment, Singh said.

Market corrections could also delay asset exits, reduce valuations and postpone performance-fee realizations. “However, long-duration infrastructure assets and private credit investments may offer some resilience through recurring cash flows and longer fund structures,” he said. The company’s performance relies significantly on attracting and retaining key leadership, investment managers, and operational specialists.

“Our business and financial condition could suffer materially if we are unable to retain our management team, key personnel, including our senior management,” the company said in its offer documents. Singh said leadership exits could weaken fundraising, investment decisions and investor confidence. “Strong succession planning, team-based decision-making, employee retention and institutional processes are essential to reduce dependence on key individuals.”

Investors should assess EAAA using price-to-earnings and price-to-book multiples, alongside AUM-based metrics, and compare these with listed asset managers and wealth managers, Singh said. “A discount may be justified due to performance-fee volatility, illiquid investments and limited earnings visibility. Any premium would require consistent returns, strong fundraising and sustainable fee income.”

According to a note by SBI Securities, EAAA is valued at 40.6 times its FY26 earnings at the upper end of the IPO price band. The valuation appears to factor in much of the company's growth potential and business strengths, the brokerage said.
