SEBI censures Axis Capital for guarantee-like support to Sojo Infotel NCDs
Regulator flags yield-linked fees and liabilities exceeding net worth; Axis Capital paid Rs 166.84 crore after Sojo Infotel's NCD repayment obligations were invoked

Market regulator Securities and Exchange Board of India (SEBI) on Wednesday censured Axis Capital Limited for providing guarantee-like credit support to investors in non-convertible debentures (NCDs) issued by Sojo Infotel Pvt Ltd. SEBI held that, the arrangement went beyond the permissible role of a merchant banker and did not qualify as underwriting. In its order, SEBI said the transaction structure, fees linked to debt yields and Axis Capital's obligation to step in when the issuer failed to meet its repayment obligations indicated that the investment bank had effectively assumed credit risk.
